Terms of Service

The rules of engagement. We wrote them in language a human can read, because hiding important things in legalese is a strategy for companies that don't trust their own product. We trust ours.

The short version

You use ReVend to run your ITAD operations. We host it, maintain it, and keep making it better. You own your data. We don't sell it. You pay for the plan you choose. Either of us can walk away with 30 days' notice. If you break something on purpose, we have a conversation. If we break something by accident, we fix it fast. That's the deal. Below are the details for the lawyers in the room.

1. What the words mean

“ReVend” — the web application, the API, and everything that comes with it. Operated by Simplinity BV, Brussels.

“You” — the company or person who signed up. The one reading this. Probably with a coffee that's gone cold because this document is longer than expected.

“Users” — everyone who logs in under your account. Each person gets their own login. Sharing accounts is not allowed — not because we're precious about it, but because audit trails mean nothing when five people share one password.

“Your Data” — every asset, order, grade, settlement, invoice, and document you put in. It's yours. We just host it. This distinction matters more than anything else on this page.

2. Your account

Keep your credentials safe. If someone logs in with your password and does something regrettable, that's between you and your password manager. We strongly recommend two-factor authentication. Actually, we insist on it. Politely, but firmly.

Provide accurate company information. We're building a professional B2B platform for an industry that processes sensitive data. We need to know who we're working with. “Test Company 123” is fine during the trial. Less fine when you're processing lease returns for a bank.

One company, one account. Multiple legal entities? Each gets its own tenant. Multi-entity management is available on Enterprise plans, which also comes with a dedicated account manager who will remember your name.

3. What you get

Access to the ReVend modules in your plan: Core, Market, Auction, Escrow — depending on what you're paying for. Everything works on the latest Chromium browsers, Firefox, and Safari. Internet Explorer is not supported, and if you're still using it, we have bigger concerns about your operation than your browser choice.

EU-hosted data storage with automated backups. API access for connecting to your other systems. Continuous updates — we ship improvements regularly, not once a year when someone approves a budget.

Support via email and in-app chat during CET business hours. Enterprise customers get priority support with response time guarantees and a direct line to someone who understands what a chargeback rule is.

4. What you pay

Per-user, per-month. Published on the pricing page. Annual billing gets you a discount. Transaction fees apply to Market and Auction deals — published rates that don't change mid-contract.

We can adjust pricing with 90 days' written notice. Annual subscribers are locked in at their current rate until renewal. We won't surprise you with a price hike the way your ERP vendor surprised you with that “mandatory platform upgrade fee.”

Non-payment: we remind you. Twice. After 30 days, your account goes read-only. After 60 days, we may terminate. But we always — always — give you time to export your data first. Holding data hostage is for companies that can't keep customers on merit.

5. Your data is yours

This is the most important section. Everything you put into ReVend belongs to you. We don't claim ownership. We don't claim licensing rights. We don't claim “a perpetual, irrevocable, worldwide license to use your content” like that social media platform you stopped reading the terms of in 2014.

Export anytime. CSV, JSON, whatever works. We made it easy to leave because we're confident you won't want to. And if you do — your data, your decision, no exit fee, no passive-aggressive account manager call.

We process your data as described in our Privacy Policy. Under GDPR, you're the data controller. We're the processor. We do what you tell us to do with your data, and nothing else.

6. Don't be terrible

Use ReVend for legitimate ITAD business. Don't use it to launder money, fence stolen hardware, or circumvent trade sanctions. Don't reverse-engineer the platform. Don't hammer the API with requests designed to crash it. Don't share your credentials with people outside your company.

If we detect misuse, we talk to you first. If it's illegal, we may skip that step. We prefer conversations to lawsuits, but we're not naive about which one some situations require.

7. Uptime

We target 99.9% availability. Scheduled maintenance happens during off-peak hours (Sunday nights CET, typically) with advance notice. Enterprise customers get a formal SLA with uptime guarantees and service credits if we miss them.

We don't guarantee perfection. Software has bugs. Servers have bad days. AWS eu-central-1 occasionally decides to be dramatic. What we guarantee is that when something breaks, we fix it fast, communicate transparently, and don't pretend it didn't happen.

8. Liability

Our total liability is capped at what you've paid us in the 12 months before the claim. We're not liable for indirect or consequential damages. This is standard for B2B SaaS and exists because no software company can reasonably insure against every hypothetical downstream consequence of a bug.

We provide the platform “as is.” We don't warrant that it will solve every problem you have. We do warrant that we'll keep improving it based on feedback from people like you who actually use it in production. Which is more than your last vendor promised.

9. Ending things

Either of us can end this with 30 days' notice. Monthly subscribers cancel at the end of any billing period. Annual subscribers cancel at renewal. No penalties. No breakup fees. No guilt.

After termination, you have 90 days to export everything. We keep it that long because we know from experience that “we're moving to a different system” always takes longer than planned. After 90 days, we delete it. This is not negotiable and it's not a threat — we genuinely don't want to store your data indefinitely either.

We may terminate immediately if you do something illegal or harmful to the platform or other customers. But that's never happened. ITAD people are generally sensible. It's the ERP vendors we worry about.

10. The boring legal bits

Governed by Belgian law. Disputes resolved in Brussels courts. EU customers can also use the European Online Dispute Resolution platform, though we'd prefer you just email us first. Most disagreements are solved faster with a conversation than a court filing.

We may update these terms. Significant changes: 30 days' notice via email. Continued use after changes = acceptance. If you disagree, you can terminate as described above.
